APNIC EC announces governance changes and proposed by-law reforms
The APNIC Executive Council (EC) is today announcing several
improvements to APNIC’s governance structure and important updates to
allow Members to practically amend and improve the APNIC By-laws.
The governance changes will remove the burden on the Director General as
sole Director and shareholder of APNIC Pty Ltd, and appoint all members
of the EC as Directors of the company.
A corporate trustee has been established to hold the single share in
APNIC Pty Ltd, with the APNIC EC to be appointed as Directors and
members of that company.
The process for Members to change the APNIC By-laws has been made
easier. Previously, any change to the by-laws required the agreement of
two-thirds of all Members; from today, change will be possible if
two-thirds of all votes cast are in favour. This update strengthens the
power of APNIC Members.
The EC intends to put further by-law reforms to a Member vote at APNIC
56 in September 2023.
These changes are the final result of the review of APNIC’s governance
that began in 2021. More detail is available in the following two
The proposed by-law amendments are in response to the community feedback
received during the APNIC 55 EC election process. The EC hopes these
by-law reforms will resolve the issues raised by Members.
